1. DEFINITIONS
In these Conditions, the following expressions shall have the following meanings:

“You” any person or legal entity placing an order for goods from Laminar Medica through this website, and “Your” shall be construed accordingly.
“Order” an order placed upon Laminar Medica by You through the facility offered by this website.
2. GENERAL AND VARIATION
2.1 These terms and conditions shall govern any sale of goods by Laminar Medica to the exclusion of any other terms and conditions including printed or published terms proposed by You in any of your documents or electronic transmissions.
2.2 Neither You nor Company shall be bound by any variation, waiver of, or addition to, these conditions except as agreed by both parties in writing and signed on their behalf by an authorised signatory.
2.3 No online order will be accepted until You have indicated acceptance of these Conditions of Sale as instructed on the website.
3. LAW
These terms and conditions shall be governed by English Law. The contract shall be deemed to have been made in England and the parties to the contract hereby submit to the jurisdiction of the English Courts.
4. ORDER FULFILMENT AND ACCEPTANCE
4.1 All orders received by Laminar Medica are subject to availability and shall not be binding upon Laminar Medica until accepted by Laminar Medica either by post, facsimile or electronic mail.
4.2 All orders shall be accepted at the discretion of Laminar Medica.
5 . THE GOODS
Before placing an order for goods You are deemed to have examined the product descriptions and information and satisfied yourself that the goods are suitable for Your purposes. Laminar Medica has the right to substitute goods in its catalogue or website, if no longer available, for goods of the same or better quality. If this is the case, Laminar Medica will endeavour to contact You using the details You provide at the checkout, to discuss the matter and agree on a suitable alternative, prior to accepting your order. Laminar Medica warrants only that the goods conform to the information published and not that they are fit for any particular purpose of which it is unaware.
6. LIABILITY
6.1 No liability whatsoever shall be incurred by Laminar Medica in respect of any representations of any kind made by Laminar Medica on its website or through its agents to You or your representatives before the contract was made.
6.2 The liability of Laminar Medica in respect of any breach of any express terms or terms implied by statute or common law or any negligence shall be limited to the price of the goods supplied and shall not extend to loss of profit or other consequential losses except where personal injury or death has been caused to any party as a result of any such breach or negligence.
7. PRICE
7.1 Unless otherwise stated all prices published by Laminar Medica on this website exclude packaging, delivery and Value Added Tax (or any other similar Government taxes imposed from time to time) which will be charged according to law, and import taxes imposed by the country of delivery which shall be for Your account.
7.2 Prices for packaging and delivery will be quoted at checkout before You submit Your order.
7.3 Published prices may be subject to change without notice, but not where You have already ordered the Goods in question.
7.4 For the avoidance of doubt, all prices shown on Laminar Medica’s website are shown first £ Sterling, followed by the Euro price, notwithstanding that Your default settings may interpret the £ or € symbol and display it as another symbol (e.g. $).
8. PAYMENT
Payment for all Goods ordered through this website and not charged to a credit account You already hold with Laminar Medica, shall be made by secure credit or debit card payment, in accordance with details submitted by You at checkout. Any payment facility used by Laminar Medica for this purpose is encrypted and secure.
9. DELIVERY AND LATE DELIVERY
9.1 The goods shall normally be delivered within 7 working days of the date of Your order, unless You and Laminar Medica agree otherwise.
9.2 If Laminar Medica fails to deliver the Goods within 30 days without Your agreement, You may withdraw Your order and Laminar Medica will refund Your payment within 30 days of Your withdrawal.
9.3 Delivery will be made to the delivery address provided by You at checkout, and by a means selected by Laminar Medica.
9.4 Property in the goods shall pass to You upon delivery thereof.
10. RISK
Save as otherwise agreed the risk in goods supplied by Laminar Medica shall pass upon delivery by Laminar Medica’s carrier to the delivery address nominated by You.
11. ASSIGNMENT
No contract between Laminar Medica and You may be assigned.
12. WITHDRAWAL AND RETURNS
12.1 You must bring any complaints about short delivery (wrong quantity of goods) or defects in the goods to us in writing, within 48 hours of Your receipt of the goods (or such shorter period required by Laminar Medica’s carrier if the complaint relates to carriage).
12.2 Laminar Medica will only accept the return of goods correctly supplied by prior agreement which shall be subject to the goods remaining in satisfactory and saleable condition. Laminar Medica will charge a minimum handling charge of 10% of the full invoice price of the goods in question, should it agree to accept their return.
13. INTELLECTUAL PROPERTY INFRINGEMENTS
Laminar Medica gives no indemnity in respect of any actual or alleged infringements of patents, trade marks, trade names, registered designs or any other intellectual property right relating to the goods its supplies.

Unauthorised use of the Material including reproduction, storage, modification, distribution or publication without the prior written consent of Laminar Medica Limited or, where applicable, the respective copyright owner(s) is prohibited.
